PART I: CONSTITUTION OF THE ASSOCIATION
Article 1. LEGAL STATUS
1.1. The association depends on the local regime law Alsace Moselle registered association.
Article 2. NAME
2.1. It is established in accordance with the local regime of Alsace Moselle an association having as name « MaG (Movie and Game) ».
2.2. The association has jurisdiction to manage decisions relating to:

❖ Video channel: Youtube
❖ Social media accounts: X, Instagram, Facebook, Bluesky
❖ Cultural events and festivals covered by the association.
❖ MaG Forum.
Article 3. INTELLECTUAL PROPERTY
3.1. The acronym for the association is: « MaG » and the following logos in different colours and variants depending on the media and means of communication used:

3.2. MaG's graphic, visual and sound charter is protected under Copyright. This includes the graphic elements as sound of the various logos available on the site, on social networks or on any other material medium such as intangible broadcasting. The logos and all elements related to the MaG brand are the exclusive property of its founders.
3.3. MaG's graphic charter also extends to present and future avatars created free of charge by Loïc Boos for the benefit of the association in order to differentiate the most invested contributors. The said avatars are visible on the team page and on each article.
3.4. Productions made on the MaG site are the property of the association and its authors.
Without express authorization by the Bureau of the Founding Members, any reproduction or attempt to reproduce on any other material medium as immaterial under plagiarism or counterfeiting is strictly prohibited and subject to prosecution.
Article 4. PURPOSE
4.1. The main purpose of the MaG association is to produce cultural publications in the fields of cinema and video game. She tests physical media or immaterial movies like video games.
4.2. Its purpose is to cover international cultural fairs (FEFFS, Strange Festival, Chéris-Chéris, BIFFF, Gérardmer International Fantasy Film Festival, Annecy Festival, Cannes Festival, NIFFF, Gamescom, Mostra de Venise, Fantasia, etc.).

4.3. MaG produces content on written, audio or video media, including Interviews, reviews, analyses and reports. Through this collective work, MaG wishes to highlight the international authors behind the video game and the seventh Art.
4.4. MaG is part of a local approach to exploring future European and regional talents such as those of the Greater East region, where the association has its head office.
4.5. MaG regularly holds cultural conferences with local partners, arts schools and e-artsup and other actors in the cultural sector. Members of MaG may participate in festival juries or other cultural media.
4.6. MaG aims to develop interregional cultural exchanges with other editorial bodies such as the association's The next session, which produces a podcast in collaboration with MaG. The aim of the programme is to highlight the cultural heritage proposed with the Agglopolys libraries in the city of Blois. The concept of the issue Mag.7 is to defend cinema, physical media and public services in a logic of cultural democratization by receiving to each issue personalities from the professional milieu who choose seven films or video games in the media library bins to analyze them during a podcast made on site.
4.7. In the future, the MaG association reserves the right to cover other neighbouring cultural areas,
in the image of the strip or theatre.
Article 5. HEADQUARTERS
5.1. The registered office of the association is located at « 14 boulevard de Nancy 67 000 Strasbourg ».
Article 6. DURATION
6.1. The duration of the association is not limited in time.
Article 7. DISSOLUTION
7.1. Early dissolution of the Association may be pronounced by a General Assembly
who will appoint one or more natural persons responsible for its liquidation.
7.2. Any remaining assets will be shared equally among the founding members. In case of
liabilities, the expenses will be cleared between the remaining founding members. Dissolution
possible only after obtaining the unanimous agreement of the founding members.
PART II: COMPOSITION AND ADMINISTRATION
SECTION I: The Bureau of the Founding Members
Article 8. COMPOSITION
8.1. The founding members shall be ex officio members of the Bureau. The composition of the Bureau may not be altered, except by unanimity of its members or in the cases provided for in Rule 10 or Article 11 of this Section.
8.2. The Bureau is composed of:

Article 9. ROLE OF THE OFFICE AND COMMITMENT
9.1. The Bureau undertakes to respect the statutes, ensures the holding of general meetings
ordinary and extraordinary.
9.2. The Bureau shall appoint the President by a majority every two years.
9.3. The members of the Bureau are the exclusive owners of MaG, produce content, ensure the development of the site in complete peace of mind, distribute fairly the costs and benefits related to its operation.
9.4. They can benefit from its fruits, act in concert and with mutual respect, without any form of coercion.
9.5. Strategic exchanges and decisions between founding members on dedicated messaging groups or any other communication medium remain confidential, in order to ensure the smooth functioning of the association while respecting the right to disconnect

ARticle 10. EXCEPTIONAL PROCEDURE FOR EXCLUSION OF A FUNDING MEMBER
10.1. As a representative of the MaG association, in the event of inappropriate behaviour, serious or repeated misconduct, which is detrimental to the peaceful functioning of the association or to its image, the defaulting member must be held accountable to the General Assembly for his actions.

10.2. As a final remedy and in the event of a situation of blockage, it may be subject to an exceptional procedure of exclusion by a majority of the members of the Bureau meeting in the Extraordinary General Assembly, the modalities of which are referred to in rule 14.4.
Article 11. DEMISSION OF A FUNDING MEMBER
11.1. Founding members may resign at any time from their office. However, they undertake not to request the removal of the content they may have produced for the site, nor to seek any financial compensation.
SECTION II: Members
Article 12. CORPORATIONS
12.1. The MaG Association is composed of four members. Members are limited to those
provided for in these Statutes:

12.2. Members shall not have direct monetary interest or general decision-making power over the functioning of the association. They are regularly requested to provide advisory opinions. They participate in the development of MaG because of their regular participation.
12.3. As an ancillary measure, they may be required to assist in certain matters decided by the drawing up of a requested vote on the initiative of a majority of the Bureau members, subject to the conditions laid down in Section III.
12.4. In the event of the association's departure by one of the members, the latter shall submit a validated replacement to a majority of the members of the Bureau.
SECTION III: General Assemblies
Article 13. REGULAR GENERAL ASSEMBLY
13.1. The purpose of the Regular General Assembly (AGO) is to discuss the strategy for the year ahead.
13.2. AGO takes place once a year in the first quarter following the previous year. The date is fixed by consensus agreement of the founders.
13.3. The AG0 shall be composed of the members of the Bureau, or in case of absence, by their representatives appointed for the general meeting concerned.
13.4. In order to participate in the life of the association, contributors and members may apply to participate in ordinary general meetings subject to the majority agreement of the members of the Bureau. Where appropriate, they shall be notified in due time.

13.5. The founders may also invite all or part of the contributors, members and external partners having an advisory role subject to the majority agreement of the members of the Bureau.
13.6. The topics for discussion are addressed upstream by the Bureau. The founders participate in the vote. In the event of a tie, the President shall have a casting vote.
Article 14. SPECIAL GENERAL ASSEMBLY
14.1. The purpose of the Extraordinary General Assembly (AGE) is to take exceptional or urgent decisions. This includes amending the statutes or strategic financial matters.
14.2. Unlike the AGO, the AGE may be convened at any time at the initiative of the President or at the request of at least two of the founding members.
14.3. It shall consist of the members of the Bureau only. Subject to the agreement of the majority of the members of the Bureau and on an exceptional basis, the founding members may invite members and all or part of the external contributors or partners each having a role
advisory services. AGE guests may instruct the debate and constitute a proposal force for the benefit of the association.
14.4. In the event of a procedure for the exclusion of one of the founding members referred to in Article 10, the members of the Bureau shall vote and deliberate by a majority. All founding members must be present for the vote.
SECTION IV: The President
Article 15. ROLE OF THE PRESIDENT
15.1. The President shall ensure the safe functioning of the Association, supervise the work of the Bureau, which he shall represent in all acts of civil life, in his external relations, and in legal proceedings in action or in defence. It has all the powers to do so and represents association with third parties. It manages the expenses and revenues of the association with the assistance of the other founding members. It is supported by the other founding members whom they assist in managing expenditure.
15.2. It is responsible for enforcing the statutes and resolving possible conflicts. In the event of breaches of the statutes, the President must enter into a discussion with the offenders.
15.3. In case of impediment, one of the other two founding members shall be chosen by vote to exercise regency until the President returns.
Article 16. APPOINTMENT
16.1. The President is appointed every two years. In the absence of another candidate, his term of office is automatically extended. In the event of multiple nominations, a majority vote shall be taken. In the event of equality of votes, an exchange shall be held between the
founding members to decide. If no new agreement is reached, the Presidency shall be transferred to one of the candidates other than the former President by drawing lots.
Article 17. DEMISSION
17.1. The President may waive his term of office at any time without cause. If necessary, new elections should be held within one month of resignation. The functioning of the association shall be exercised by the other founding members, pending the new
elections.
Article 18. REVOCATION
18.1. In the event of serious and repeated misconduct contrary to the development and image of MaG, the President may be dismissed at the end of a special General Assembly in accordance with the provisions of Article 10.
PART III: FOLLOW-UP TO THE ASSOCIATION
Article 19. AMENDMENT OF STATUS
19.1. The statutes may be amended at the request of one of the founding members. The amendments were voted by majority vote after convening an AGE. In the event of equality, the vote of the President shall prevail. The composition of the Bureau shall not

Article 20. SOCIAL YEAR

(e.g. computer scientists, graphic designers, translators, interpreters, videographers, etc.) which would, for example, produce substantial content, regularly cover festivals, conduct interviews, for temporary or indefinite missions relating to the life of the association and
development of the site and forum. In accordance with the legislation, the legal status will be decided, if necessary, by the members of the Bureau.
20.5. Where appropriate, the personal costs incurred by the persons referred to in Article 20.4 shall be taken into account in rewarding or paying them in proportion to their financial commitment and the consequent working time spent on the benefit of the association.
PART IV: PARTICIPATION IN THE LIFE OF THE ASSOCIATION
SECTION I: Contributors
Article 21. CONTRIBUTOR RETURN
21.1. MaG uses external and voluntary contributors for its activity. The latter participate in the technical part of the site or freely produce written, video, material or immaterial content on behalf of the association.
21.2. Because of their voluntary status, they are not bound by a fixed volume of publications. However, in order for MaG to develop and expand its cultural reach, volunteers are committed to regularity.
21.3. In order to encourage them to produce on behalf of the association, their contribution, their personal investment and their commitment may be subject to a gratuity or benefits in kind when covering festivals for example. These items were decided by a majority of the Bureau.
21.4. Contributors are invited to participate in the discussion groups on the site's activity and development.
21.5. They may decide to resign at any time.
21.6. The Bureau may revoke them at any time in the cases set out in the following sections of this section.
Article 22. ROLE OF SECTIONS AND QUALITY CONTROL OF CONTENTS BY THE OFFICE
22.1. The content of the contributors is verified by the founding members responsible for the Video Game and Cinema sections.
22.2. The dedicated sections have an advisory and complementary role. Each of them ensures that the editorial line is respected.
22.3. The layout of the articles is the subject of a global outline in order to have a coherent and balanced line for the publications. The layout of contributor articles may be modified by the founding members. An indicative framework is given to contributors to assist them in their productions. It may evolve and be adapted according to the needs of the association.
Article 23. OPINION FOR THE PUBLICATION OF AN ARTICLE
23.1. Each section ensures that the content of the contributors is qualitative in substance and form. Members of each Video Game or Cinema section may object to the publication of an article or, in the event of a request for a second version. Members
founders collegiately correct contributors' articles by ensuring that they are consulted and assisted with a view to improvement.
23.2. In the absence of sufficient rectification to attain the quality required for publication, in the event of plagiarism or manifest recourse to artificial intelligence, the founders reserve the right to reject the article and to initiate the procedure of exclusion referred to in Article 26. In the event of plagiarism, defamation or any other offence, contributors will be held personally accountable for their actions before the law.
Article 24. VALIDATION, DATE OF PUBLICATION AND COMMUNICATION
24.1. The content of the contributors is validated by the dedicated sections. Once the content has been validated, the section concerned shall decide on the date of publication of the article and the related communication on social networks.
24.2. Specific slots for video games and movies are decided by the Bureau to maximize the visibility of the articles.
24.3. Contributors may be required to participate in communications via social networks after the Bureau's approval by the majority.
Article 25. BENEFIT OF CONTRIBUTORS
25.1. In the course of their activities, like any member involved in the association, contributors may benefit from the association's funds for its operation. Where appropriate, they should seek the founding members of the Bureau to cover directly or
indirectly any cultural event relating to the object of the association.
25.2. The members of the Bureau shall together decide whether or not to grant their request and in which case to cover all or part of the event in a reasonable manner and in accordance with the funds available from the association established by the own funds of the Bureau and external support
at the site.
25.3. The members of the Bureau shall consider the participation of the person concerned in return for that of the other members of the association. In the event of equality of votes, the President shall have a casting vote in order to validate whether or not the allocation of the defraying funds.
Article 26. PROCEDURE FOR EXCLUSION OF CONTRIBUTORS
26.1. The founders may separate at any time from the contributors, in the event of both substantive and formal problems, or they repeatedly violate the obligations of Part IV and V.
26.2. The founders reserve the right to extend this scope of control to conduct or take public positions of a sexist, misogynist, racist, discriminatory nature or, more generally, for any conduct reprehensible to the image and values
MaG humanists.
26.3. The exclusion shall be decided and voted by a majority of the members of the Bureau. In the event of equality, the President shall have a casting vote.
26.4. Their productions prior to their exclusion may not be removed from the MaG site or social networks, except with the agreement of all the members of the Bureau after the specific request of the person concerned.
SECTION II: Donors and grants awarded:
Article 27. DONATIONS, DONATIONS AND LEGS
27.1. In order to carry out its activity and produce the maximum content under the best conditions, the MaG association can benefit from donations, donations and bequests on the model provided for by the Common Law with tax exemption within the limits provided by the legislator.
Article 28. PARTICIPATIVE FINANCING
28.1. Within the limits set by the legislator, any person wishing to encourage the development of MaG may also contribute financially occasionally or regularly on the crowdfunding platforms used by MaG in the future.
Article 29. GRANTS
29.1. As part of its activity related to the development and outreach of the world's film and video-game arts, the Association may also apply for grants to ensure the sustainability of its cultural object provided for in Article 4.
SECTION III: External Partners:
Article 30. PARTNER AND THIRD PARTNER INDEPENDENCE
30.1. MaG can benefit from physical or intangible media related to cinema or video game from editorial partners. MaG commits itself to maintaining all independence in the appreciation of these works, indicates the ongoing partnerships on the dedicated MaG page
or whether the game was provided by the publisher or not in the articles to ensure transparency. Third parties have no control over MaG's editorial line and strategy.
PART V: GENERAL PROVISIONS OF THE FORUM:
Article 31. FORUM FRAMEWORK
31.1. Like the publications on the site and the social networks used by MaG, the MaG forum aims to promote access to culture, exchanges between the editorial staff and its audience. The general provisions of this Section shall be consistent with the legislation
as well as GDPR.
31.2. They are to be supplemented by the Charter of the Forum whose provisions make
authority as in this section.
Article 32. ACCEPTANCE OF FORUM USE RULES
32.1. By participating in the MaG forum and its various topics, users agree to abide by this completed section and the Forum Charter.
Article 33. MODERATION
33.1. The primary objective of moderation is to ensure that the MaG forum remains an intercultural space for healthy and plural exchange and sharing, without invective or aggression. Whatever their status, it is the responsibility of the Forum users to ensure that their
contributions do not harm others or violate existing regulations.
33.2. The forum is moderate a posteriori. Posted messages are published directly without prior checking.
33.3. The moderators shall be determined by the members of the Bureau, who shall always have a leading voice in the event of conflict.
33.4. The penalties provided for in the articles of this section range from simple reminder to order to permanent banishment decided unanimously by moderation. They are generally applied gradually, taking into account recidivism.
Article 34. CONTROL AND SUPPRESSION OF LITIGIOUS CONTRIBUTIONS
34.1. The moderators of the forum, members and members of the Bureau reserve the right to withdraw any contribution they consider inappropriate, inappropriate, contrary to the law or humanistic values defended by MaG.
34.2. Messages that are not related to the topics of discussion or the subject of the forum may be deleted without notice or warning by moderators.
34.3. Contributions that:
• Encourage the promotion of piracy;
• Direct or indirect discrimination according to the Article 225-1 of the Criminal Code ;
• Participate in the apology of crimes or offences punishable by law such as moral or sexual harassment, murder, rape, war crimes, crimes against humanity, genocide, etc.
• Are contrary to public order and morality, have an offensive, defamatory, insulting or rude character;
• Are linked to a clearly commercial interest or have a promotional purpose the terms of which are provided for in Article 39;
• Pornography
• Moderation reserves the right to remove without prior notice any contribution directly affecting the image or moral integrity of a third person or, more generally, any content likely to shock or harm human dignity.
Article 35. EXCLUSION OF FORUM AND SITE
35.1. The organizers of the forum reserve the right to exclude from the forum, either temporarily or definitively, any person whose contributions conflict with the rules mentioned in this section. Organisers will be able to transmit to the police or judicial authorities all documents or documents posted on the forum if they feel they have a duty to inform the competent authorities or if they are required by law to do so.
Article 36. PREVENTIVE RESTRICTION OF THE CONTENTS PARTICIPATING IN DISDISCRIMINATION
36.1. Because of their malicious nature, which contributes directly to the deterioration of the public debate and the spread of a harmful social climate on the one hand and due to the regular sanctions issued by the Arcom or the Justice against some of these actors on the other, the

36.2. Contributions including hyperlinks, contents or reproductions of the publications of the said media participating in the misinformation and/or incitement to hatred of the other may be subject to sanctions provided for in this section.
36.3. This may include content published by any present or future media held by the Bolloré Group and its subsidiaries or branches or any other similar media. This article covers influencers and videographers with similar programs.
36.4. This list is not exhaustive: BFM TV, CNews, CStar, C8, Black Book, Frontiers, Current Values, etc.
36.5. Moderation reserves the right to delete any comment including these types of hyperlinks or reproductions of content contrary to the MaG values.
Article 37. SIGNALIZATION, SUSPENSION AND EXCLUSION OF USERS
37.1. Users undertake to notify the moderators or, failing that, the Bureau members of any deficiencies in this section.
37.2. Failure to comply with this section will systematically result in suspension or even finalisation of the user concerned, depending on the seriousness of the facts considered and appreciated by the moderators and/or members of the Bureau.
Article 38. RESPECT FOR THE FRENCH LANGUAGE
38.1. Users are committed to writing with respect for the French language without using abbreviations and with concern for grammar and spelling. Those wishing to write in inclusive writing are free to use it on the forum.
38.2. In case of recurrent grammar and spelling errors, deficiencies in the substance such as the form of contributions, moderation reserves the right to notify the contributor and to take any additional measures provided for in this section.
Article 39. SELF-PROMOTION AND PUBLICITY CONTENTS
39.1. Posting content that is created by yourself is not prohibited; However, any content of a promotional nature is likely to be removed by moderation.
39.2. Moderation reserves the right to assess the facts according to the contributor's participation in the life of the forum.
Article 4O. ANONYMAT
40.1. The use of a pseudonym does not render anonymous before the law. According to the legislation, technical providers are required to keep and refer to the judicial authority the connection information (log, IP, date/time) allowing the prosecution of the offender. All necessary information will therefore be kept for the prescribed legal period. They will be destroyed at the end of the statutory retention period.
PART VI: ENTRY INTO FORCE
LThese Statutes shall enter into force upon their adoption. If any element of the statutes proves to be contrary to the legal provisions, in particular in the event of changes in the law, only that element shall be deemed null and void and substituted by the minimum legal provisions without calling into question the rest of the statutes. If necessary, the Association will meet in AGE to amend the statutes.
These Statutes were adopted following the Extraordinary General Assembly held in videoconference on 16 April 2025.
